You may already be aware that, even if your business is organized as a separate entity with limited liability (corporation, LLC, Limited Partnership), the Internal Revenue Code provides that you can – and will – be held as a "responsible officer" personally liable for the employee share of the unpaid payroll taxes, which is about 50% of the total employment taxes outstanding! And for state sales taxes, business owners are personally liable for 100% of the taxes not paid over!

We immediately contact the assigned IRS or state of Illinois collection officer and establish a timetable that ensures you are in current compliance, and provides a plan for resolving the historical debt – both on behalf of the company and, if necessary, one that eliminates or minimizes the personal liability (trust fund recovery penalties) asserted against you individually. At the Tax Practice we have the resources to prepare delinquent 940, 941, IDES and state payroll, sales, and excise returns as needed, even if the agency already prepared "substitute" returns on your behalf, based on estimates or prior year filings.

Options available for resolving the historical tax debts include a variety of installment payment arrangements, offer in compromise, currently not collectible status, and bankruptcy.
